These Terms of Service ("Terms") govern your access to and use of the Reinhold GRC platform ("Service") operated by Reinhold Technologies Ltd ("Reinhold", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Service Description
Reinhold is a governance, risk, and compliance (GRC) platform that enables organisations to manage compliance across multiple regulatory frameworks, track risks, collect and evaluate evidence, and maintain audit readiness. The Service includes automated evidence collection from third-party integrations, AI-assisted control mapping, risk scoring, and reporting.
2. Account Registration
To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use at privacy@reinhold.io.
3. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorised access to any part of the Service or its infrastructure
- Interfere with or disrupt the integrity or performance of the Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to store or transmit malicious code, malware, or harmful content
- Share your account credentials or allow unauthorised third parties to access your account
- Scrape, crawl, or use automated means to access the Service beyond approved APIs
- Resell, sublicense, or redistribute the Service without prior written consent
4. Your Data
You retain all ownership rights to the data you upload or generate through the Service ("Your Data"). By using the Service, you grant Reinhold a limited, non-exclusive licence to process Your Data solely for the purpose of providing and improving the Service. We will not access, use, or share Your Data except as necessary to provide the Service, comply with legal obligations, or as described in our Privacy Policy.
You are responsible for ensuring that Your Data does not infringe any third-party rights and that you have the necessary permissions to upload and process it through the Service.
5. Intellectual Property
The Service, including its software, design, documentation, branding, and all related intellectual property, is owned by Reinhold Technologies Ltd and protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in the Service except the limited right to use it in accordance with these Terms.
Compliance frameworks, standards, and regulatory texts referenced within the Service are the property of their respective owners and are used for informational purposes only.
6. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform scheduled maintenance with reasonable advance notice. We are not liable for any downtime, data loss, or service interruptions caused by factors beyond our reasonable control, including third-party service failures, network issues, or force majeure events.
7. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Reinhold does not warrant that the Service will meet your specific compliance or regulatory requirements. The Service is a tool to assist with GRC management and does not constitute legal, regulatory, or professional compliance advice. You are responsible for ensuring your organisation's compliance with applicable laws and regulations.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REINHOLD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO REINHOLD IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9. Indemnification
You agree to indemnify, defend, and hold harmless Reinhold and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
10. Termination
Either party may terminate these Terms at any time. You may terminate by closing your account. We may suspend or terminate your access to the Service immediately if you breach these Terms or if we reasonably believe your use poses a security risk.
Upon termination, your right to use the Service ceases immediately. We will make Your Data available for export for 30 days following termination, after which it may be permanently deleted. Sections that by their nature should survive termination (including Sections 5, 7, 8, 9, and 12) will survive.
11. Changes to These Terms
We may modify these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. If you continue to use the Service after the changes take effect, you agree to the revised Terms. If you do not agree, you must stop using the Service.
12. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws provisions. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Reinhold regarding the Service.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
- Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
